Terms of Service

Welcome to Beyond Physician Inc. These Terms of Service (“Terms”) govern your access to and use of our websites, mobile sites, services, applications, platforms and tools, including but not limited to beyondphysician.org, Beyond Physician Academy, Beyond Physician Marketplace, and the VOICE platform (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for use by individuals and organizations located in the United States.

3. Account Registration

To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:

  • provide accurate, current, and complete information;
  • maintain and promptly update your account information;
  • maintain the security and confidentiality of your login credentials;
  • accept responsibility for all activities that occur under your account; and
  • notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if you violate these Terms.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Service in any way that violates any applicable federal, state, or local law or regulation;
  • use the Service to transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable;
  • impersonate or attempt to impersonate Beyond Physician Inc., a Beyond Physician employee, another user, or any other person or entity;
  • interfere with or disrupt the integrity or performance of the Service;
  • attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service;
  • use any automated means, including bots, scrapers, or spiders, to access or collect data from the Service; or
  • use the Service to send unsolicited communications, promotions, or advertisements.

5. Intellectual Property

The Service and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof — are the exclusive property of Beyond Physician Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Service without our prior written consent, except as follows:

  • your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;
  • you may store files that are automatically cached by your web browser for display enhancement purposes; and
  • you may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

6. User Content

The Service may allow you to submit, post, or share content, including but not limited to text, images, video, and other materials (“User Content”). You retain ownership of your User Content, but by submitting User Content to the Service, you grant Beyond Physician Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business, including for promotional purposes.

You represent and warrant that you own or have the necessary rights to submit the User Content and that the User Content does not violate any third party’s rights, including intellectual property rights and privacy rights.

7. Payment Terms

Certain features of the Service may require payment of fees. If you choose to use paid features, you agree to pay all applicable fees as described on the Service. All fees are non-refundable unless otherwise stated. We reserve the right to change our fees at any time upon reasonable notice. Your continued use of the paid features after a fee change constitutes your agreement to the new fees.

8. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Beyond Physician Inc. We do not endorse and are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Beyond Physician Inc. shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BEYOND PHYSICIAN INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NOTHING ON THE SERVICE CONSTITUTES MEDICAL ADVICE. THE CONTENT PROVIDED THROUGH THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEYOND PHYSICIAN INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • your access to or use of (or inability to access or use) the Service;
  • any conduct or content of any third party on the Service;
  • any content obtained from the Service; or
  • unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Beyond Physician Inc. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Franklin County, Ohio, and you consent to the personal jurisdiction and venue of such courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the “Last revised” date at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Beyond Physician Inc. regarding the Service and supersede all prior agreements and understandings.
